By accessing or using Taro ("the Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not use the Service.
Important: These Terms constitute a legally binding agreement between you and Taro. By creating an account or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.
Who Can Use Taro?
- You must be at least 13 years old to use Taro as an Individual user
- You must be at least 18 years old to create a Workspace or Team account
- You must have the authority to bind your organization if signing up on behalf of a company
- You must comply with all laws and regulations in your jurisdiction

Service Description
What We Provide
Taro is a video conferencing platform that enables:

- Screen sharing
- Virtual backgrounds
- Meeting recording
Collaboration Tools
- Team workspaces
- Chat messaging
- File sharing
- AI transcription
Service Modifications: We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice. We will notify you of material changes via email or in-app notifications.

Your Responsibilities
- Accurate Information: You must provide accurate, current, and complete information during registration
- Account Security: You are responsible for maintaining the confidentiality of your password
- Account Activity: You are responsible for all activities that occur under your account
- Unauthorized Access: Notify us immediately if you suspect unauthorized access to your account
- One Account: You may only create one Individual account (multiple Workspaces allowed)
Prohibited: Creating accounts using false information, sharing account credentials, or creating multiple accounts to circumvent restrictions is strictly prohibited and may result in immediate termination.

Billing Terms
- Payment Methods: We accept credit cards, debit cards, and other payment methods as displayed
- Billing Cycles: Monthly or annual billing available (save 20% with annual)
- Auto-Renewal: Subscriptions automatically renew unless cancelled before the renewal date
- Price Changes: We may change pricing with 30 days notice (existing subscriptions honored until renewal)
- Taxes: Prices exclude applicable taxes (VAT, sales tax, etc.) which will be added at checkout
- Currency: All prices are in Nigerian Naira (₦) unless otherwise stated

Cancellation & Refunds
- Free Tier: Cancel anytime with no fees
- Paid Plans: Cancel anytime; access continues until end of billing period

- Downgrade: Downgrades take effect at next billing cycle
- Failed Payments: Account suspended after 7 days of failed payment; deleted after 30 days

Acceptable Use Policy

You may NOT use Taro for:
Illegal Activities
- Violating any laws or regulations
- Infringing intellectual property rights
- Distributing malware or viruses
- Phishing or scamming
Harmful Content
- Harassment or bullying
- Hate speech or discrimination
- Violence or threats
- Adult content or solicitation
System Abuse
- Hacking or unauthorized access
- Reverse engineering
- Scraping or crawling
- Excessive API usage
Spam & Abuse
- Sending spam or unsolicited messages
- Creating fake accounts
- Impersonating others
- Abusing support channels
Enforcement
Violations may result in:
- Warning notice
- Feature restrictions
- Account suspension
- Account termination (without refund)
- Legal action if necessary

Intellectual Property Rights
Our Intellectual Property
Taro owns all rights to:
- Taro brand name, logos, and trademarks
- Service software, code, and technology
- Website design and user interface
- Documentation and marketing materials
Your Content
You retain ownership of all content you create, upload, or share through Taro, including:
- Meeting recordings
- Chat messages and files
- Transcripts and meeting minutes
- Whiteboards and annotations
License You Grant Us
By uploading content to Taro, you grant us a limited license to:
- Store and process your content to provide the Service
- Share content with participants you invite to meetings
- Generate transcripts and AI-powered features
- Make backups for disaster recovery
Your Data is Yours: We will never use your content for advertising, sell it to third parties, or use it to train AI models without your explicit consent. You can export or delete your data at any time.
Copyright Infringement
If you believe content on Taro infringes your copyright, contact us at:

Taro is provided "as is" without warranties. We do not guarantee:
- Uninterrupted or error-free service
- Specific video/audio quality (depends on internet connection)
- Compatibility with all devices or browsers
- That the Service will meet your specific requirements

Limitation of Liability

Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or reliability of content
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TARO SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, or consequential damages
- Loss of profits, revenue, data, or business opportunities
- Service interruptions or data loss
- Third-party actions or content
- Unauthorized access to your account
Maximum Liability: Our total liability shall not exceed the amount you paid us in the 12 months before the claim, or ₦10,000 (whichever is greater).
Exceptions
This limitation does NOT apply to:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Liabilities that cannot be limited by law

Indemnification
You agree to indemnify, defend, and hold harmless Taro, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any law or regulation
- Your content or data
- Your infringement of third-party rights
- Actions of users in your Workspace
We reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.

Termination
Termination by You
- You may cancel your account anytime from Settings → Account → Delete Account
- Cancellation takes effect immediately
- For paid plans, access continues until end of billing period
- Data is retained for 30 days after deletion (then permanently deleted)
Termination by Us
We may suspend or terminate your account if:
- You violate these Terms or Acceptable Use Policy
- Your payment fails (after 7-day grace period)
- We suspect fraudulent activity
- Required by law or legal process
- You engage in abusive behavior toward our staff
Effect of Termination
- Your right to use the Service ends immediately
- You may download your data within 30 days
- After 30 days, all data is permanently deleted
- No refunds for partial periods
- Provisions that should survive (liability, disputes) remain in effect
Data Export: Before deleting your account, export your data from Settings → Data Export. After deletion, data cannot be recovered.

Dispute Resolution
Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.
Informal Resolution
Before filing a claim, please contact us at legal@taro.com to attempt to resolve the dispute informally. We commit to responding within 10 business days.
Arbitration Agreement
If informal resolution fails, disputes will be resolved through binding arbitration rather than in court, except:
- Small claims court cases (under ₦500,000)
- Intellectual property disputes
- Injunctive relief requests
Class Action Waiver
You agree to resolve disputes individually. You waive the right to participate in class actions, class arbitrations, or representative actions.
Jurisdiction
For disputes not subject to arbitration, you consent to the exclusive jurisdiction of courts in Lagos, Nigeria.

General Provisions
Changes to Terms
We may update these Terms from time to time. Changes will be effective:
- Immediately for new users
- 30 days after notice for existing users (via email)
- Continued use after changes means acceptance
Assignment
You may not assign or transfer these Terms. We may assign our rights to affiliates, successors, or acquirers without notice.
Severability
If any provision is found unenforceable, the remaining provisions continue in effect, and the unenforceable provision is modified to be enforceable.
Waiver
Failure to enforce any provision does not waive our right to enforce it later. Waivers must be in writing.
Entire Agreement
These Terms, along with our Privacy Policy and other referenced policies, constitute the entire agreement between you and Taro.
Force Majeure
We are not liable for delays or failures due to circumstances beyond our control (natural disasters, war, strikes, internet outages, etc.).
Language
These Terms are written in English. Translations are provided for convenience only. In case of conflict, the English version prevails.
